VibeMS Business End User Licence Agreement
Version 2026-07-12. This EULA forms part of the VibeMS Business Terms and applies exclusively to business Customers.
1. Proprietary software
VibeMS, including its CMS core, installer, visual editor, update system, Control Center integration, documentation, branding and proprietary components, is licensed and not sold. VibeMS and its licensors retain all rights not expressly granted.
2. Licence grant
Subject to payment and contract compliance, the Customer receives a non-exclusive, worldwide, non-transferable and non-sublicensable right to install and use VibeMS within the limits of the purchased plan. Use of an installed covered core version is perpetual unless an order states otherwise. New releases, downloads and activations follow the applicable entitlement.
3. Plan rights
Single permits one production installation and its stated non-production activations. Unlimited and Lifetime permit the stated repeated client-project use. The purchasing legal entity controls the licence key. A client receiving a website does not acquire a standalone right to copy, redistribute or use VibeMS for other websites.
4. Customer content and exports
The Customer retains its rights in website content, original source files, imported assets and exports, subject to third-party rights. A normal website export may be used independently. Export does not grant a right to extract, distribute or reproduce the proprietary VibeMS application.
5. Permitted agency use
Where the plan includes client handoff, the Customer may build and deliver websites and create limited editor accounts. The Customer remains responsible for sufficient licence capacity and its client agreements. It may charge for website services but may not resell the VibeMS licence key as a standalone product.
6. Restrictions
Except where mandatory law permits otherwise, the Customer may not distribute, sell, rent or sublicense VibeMS as a standalone CMS; disclose keys or protected source code; bypass activation, signatures, site limits or access controls; remove required notices; pool a licence between unrelated entities; reverse engineer the proprietary core; or knowingly use VibeMS for unlawful services or malicious code.
7. Closed-source status and third-party components
VibeMS is proprietary closed-source software. Technically readable PHP files do not constitute source publication or an open-source licence. Third-party components retain their own licences and do not make VibeMS open source. Imported websites, fonts, images, scripts and integrations remain subject to their own terms and Customer responsibility.
8. Activation and offline certificates
Installation requires online activation for the relevant environment. A signed local certificate permits offline entitlement verification. Ordinary activation does not upload website pages, media, form submissions, CMS users, backups, SMTP credentials or MCP tokens.
9. Updates, security and compatibility
Signed updates may include security corrections, compatibility work, patches, features and major versions. Customers must maintain verified backups, test material updates and install available security updates within a reasonable period.
No software can be guaranteed to be entirely free from vulnerabilities or resistant to every attack. VibeMS does not warrant absolute security. Customers are responsible for secure hosting, credentials, configuration, imported code and backups. This does not transfer responsibility for a defect in the unmodified VibeMS core or limit mandatory rights and liability.
Expired commercial update entitlement may restrict later features, compatibility releases and new activations. It does not curtail security updates or vulnerability handling required by mandatory law during the security-support period published on the VibeMS Security page.
VibeMS is not responsible for an incident to the extent caused by unsupported environments, Customer modifications, disabled controls, third-party or imported code, disclosed credentials or delayed installation of an available security update after reasonable notice.
10. Termination and continuing provisions
Following a full refund, confirmed fraud, chargeback abuse, material key sharing or uncured material breach, VibeMS may restrict new activations, account access and downloads where reasonably necessary. Existing local installations are not intentionally disabled merely because commercial update entitlement ends. Ownership, restrictions, confidentiality, accrued claims and liability survive termination.
